S&B Strategy advises EGC on the acquisition of BayWa Energie Dienstleistungs GmbH

Our team provided comprehensive advice to the EGC Group (EGC) on the acquisition of BayWa Energie Dienstleistungs GmbH (BayWa EDL).

EGC, a leading energy service provider based in Düsseldorf, is consistently continuing its growth course with the next transaction. In February 2025, the company entered into a strategic partnership with KKR to position itself as a long-term decarbonisation partner for the real estate industry. EGC currently manages a real estate portfolio of over 2 million square metres and approximately 1,000 heating centres for more than 100 customers. The company covers the entire value chain – from the planning and design of energy and building technology systems to the financing, operation and maintenance of heating centres and power supply networks to energy supply.

BayWa EDL specialises in biomass heating systems and local heating networks. Founded in 2009, this subsidiary of BayWa AG operates heat generation plants at 52 locations, which are mainly powered by biomass and generate around 51,200 MWh of heat annually. BayWa EDL serves a broad customer base – in particular local authorities and public clients – covering the entire value chain from planning and design to operation and maintenance, as well as metering, billing and material procurement.

With the acquisition of BayWa EDL, EGC is strengthening its presence in Bavaria and is now represented in all key regions of Germany. At the same time, EGC is expanding its technology portfolio in the field of biomass, thereby underlining its role as a one-stop shop for climate-friendly energy solutions. BayWa EDL's complementary offering complements EGC's existing focus on heat pumps and photovoltaics. In particular, BayWa EDL's strong foothold in the municipal sector opens up new growth prospects and reference projects for EGC in other regions.
